Citigroup Global Markets Asia Limited is seeking a qualified solicitor for our APAC Markets and Securities Services legal team, supporting Citi's Prime Finance and Cash Equities business.
Due to the substantial global focus on Prime Finance, the business in APAC is rapidly expanding its client onboarding levels. This growth in Prime Finance business requires additional dedicated legal resources. The successful candidate will primarily provide legal advice and subject matter expertise on client onboarding negotiations, ongoing requests from onboarded clients and strategic projects for the Prime Finance platform. In addition, the candidate will also assist on contract negotiations for and provide general legal advice to the Cash Equities business.
Responsibilities:
Advise on the suite of Prime Finance onboarding documents, such as the prime brokerage agreement for cash prime services, the prime finance swap master confirmation agreement for synthetic prime services, and the margin and fee lock-up agreement and, from time to time, standalone complex securities lending agreements.
Conduct enforceability analysis on close-out netting and security interest relating to capital optimization.
Advise on new product offerings on the Prime Finance platform, particularly those with a China focus.
Liaise with the internal country and other regional legal teams on high profile / complex products and cross-regional issues.
Advise on Cash Equities contracts negotiations such as electronic trading agreements and participation agreements for exchange traded funds and provide general advice to the Cash Equities business from time to time.
Develop and manage relationships with key stakeholders including Product team heads, Credit officers, In-Business Risk colleagues, Client Executive and Sales colleagues as well as Compliance and Finance Departments.
Collaborate across internal lines of business and control/ support functions to achieve coordinated and efficient outcomes on matters of common interest; coordinate closely with Legal peers on a regional and global basis.
Provide legal input on interactions with regulators relating to the Prime Finance and Cash Equities business.
Work with and manage relationships with external law firms in supporting the above.
Escalate all material legal issues to the direct manager, as well as relevant Prime Finance business stakeholders and supporting that person in discharging their responsibilities.
Appropriately assess the legal risks associated with business proposals demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain standards.
Skills and Experience:
3 - 8 years of relevant industry experience, preferably in financial services.
Fluency on how prime finance, securities lending and cash equities products trade and are risk managed.
Knowledge of international, multi-jurisdictional laws, regulations and practices while staying abreast of regulatory and legal environment, internal policies and industry trends that impact the business.
Effective communication and negotiation skills and ability to maintain trusted relationships.
Proven ability to manage assignments in demanding, fast paced environment.
Prime Finance and Cash Equities subject matter expertise preferred.
Regulatory awareness important.
Business-minded intelligence - financial mindset.
Education:
Qualified solicitor (England & Wales and other Commonwealth jurisdictions).
