This position is located in the Office of General Counsel (OGC), United States Development Finance Corporation (DFC), the U.S. Government's development finance bank. The successful candidate will serve as an Assistant General Counsel and advise on the legal and policy aspects of DFC's support of clean energy and climate projects. 

Duties: 
Attorneys will work with the structured finance team, with a primary focus on climate and clean energy projects. They may work with other DFC product lines as needed. Work includes legal due diligence and reviewing, drafting and/or negotiating all transaction documents leading to closing, as well as monitoring existing transactions and restructuring or collecting on defaulted loans. The types of financing will primarily be comprised of project finance and infrastructure loans, but may also include political risk insurance, loans and guarantees to small and medium enterprises (SM Es) and other financial intermediaries, and equity funds. The loans will often involve complex negotiation and documentation. 

Conditions of Employment:

• This position is in the excepted service.
• US Citizenship, Nationals or those who owe allegiance to the U.S. is required.
• Suitable for Federal employment, determined by background investigation.

• May be required to successfully complete a two year trial period.
• If selected, you will be required to file, prior to entrance on duty, a Confidential Financial Disclosure Report (OGE Form 450).

Qualifications: Applicants must meet all eligibility and qualification requirement by the time of submission of application. 

Basic Requirements: Applicants must (1) be a graduate of an accredited law school with an LLB. or J.D.; (2) be a current member of a bar with a valid license to practice law in a state, territory of the United States, District of Columbia, or Commonwealth of Puerto Rico; and (3) meet all specialized experience requirements as described below. An official transcript will be required if you are selected. 
Specialized Experience: 

GS-14: You may qualify at the GS-14 level, if you meet the following qualification requirement: At least three years of full-time professional legal experience gained after being admitted to the bar. The minimum three-year work experience requirement includes at least two years of specialized experience that is directly related to the position being filled. At least one of the two years of specialized experience must be at a level of difficulty and responsibility equivalent to that of an attorney at the GS-13 level. 

GS-15: You may qualify at the GS-15 level, if you meet the following qualification requirement: At least five years of full-time professional legal experience gained after being admitted to the bar. The minimum five-year work experience requirement includes at least four years of specialized experience that is directly related to the position being filled. At least two of the four years of specialized experience must be at a level of difficulty and responsibility equivalent to that of an attorney at the GS-14 level. 

Specialized experience is defined as: 

• Experience advising on legal and policy matters in the areas of finance (including project finance, loans to small and medium enterprises (SM Es) or other financial intermediaries, and/or corporate loans), equity investments, private equity funds, and/or political risk insurance in the context of negotiating and documenting transactions for projects in emerging markets, whether directly or through the supervision of outside counsel.
• Specialized knowledge of and ability to independently analyze whether off-take, power purchase and concession agreements and tender programs are bankable in accordance with standard bank-ability principles, especially those published by DFC or other U.S. federal agencies.
• Specialized knowledge of and ability to independently analyze whether the design, construction and operating contracts for a power project are bankable at a high level.
• Specialized knowledge of and ability to draft and negotiate key financing and inter-creditor agreements and advise teams structuring security for power projects.
• Demonstrated ability to find solutions to transaction issues.
